The Statii Referral Programme(“the Programme”) is operated by Statii Limited, a company registered inEngland and Wales under company number 07335037, with its registered office atThe Tangent, Weighbridge Road, Shirebrook, Mansfield, England, NG20 8RX (“Statii,”“we,” “our,” or “us”).
The Programme rewards individualsor businesses (“Referrers”) who successfully refer new paying customers toStatii. A qualifying referral entitles the Referrer to a £300 gift card,subject to the conditions set out below.
“Referrer” means any individual or business that submits a referralthrough the Programme. The Referrer does not need to be an existing Statiicustomer.
“Referred Contact” means the individual or business nominated by theReferrer as a potential new Statii customer.
“Qualifying Referral” means a referral that meets all of the eligibilitycriteria set out in Section 4 of these Terms and results in the ReferredContact becoming an Active Paying Customer of Statii.
“Active Paying Customer” means a Referred Contact who has signed up for a paidStatii MRP subscription and has made at least one successful subscriptionpayment to Statii (excluding any free trial period). Where the Referred Contactbegins on a free trial, they will not be considered an Active Paying Customeruntil the trial period has ended and they have transitioned to a paidsubscription with at least one payment received.
“Trial Period” means any complimentary or free-of-charge period offeredby Statii to the Referred Contact at the start of their subscription, duringwhich no payment is required.
“Reward” means the £300 gift card issued to the Referrer uponcompletion of a Qualifying Referral, provided through the Tremendous rewardsplatform (www.tremendous.com).
The Programme is open to anyindividual or business. To participate as a Referrer, you must meet thefollowing criteria:
a) You must submit thereferral through the official referral form on the Statii website.
b) You must provide accurateand complete information for both yourself and the Referred Contact.
c) You must have obtained theReferred Contact’s consent to share their personal details with Statii beforesubmitting the referral (see Section 9).
d) Statii employees,contractors, and their immediate family members are not eligible to participateas Referrers.
For a referral to qualify as aQualifying Referral, the Referred Contact must meet all of the followingcriteria:
a) The Referred Contact mustbe a suitable manufacturing business with a genuine and legitimate interest in,or requirement for, manufacturing resource planning (MRP) software.
b) The Referred Contact mustnot be an existing Statii customer at the time the referral is submitted.
c) The Referred Contact mustnot be a lapsed or former Statii customer, meaning any individual or businessthat has previously held a Statii subscription or service agreement withStatii, regardless of how long ago that relationship ended.
d) The Referred Contact mustnot have previously attended a Statii product demonstration or demo session,whether in person, online, or via a recorded presentation, prior to the datethe referral is submitted.
e) The Referred Contact mustnot already be recorded in Statii’s customer relationship management (CRM)system as an active lead or prospect at the time the referral is submitted.
A Reward is earned only when allof the following conditions are satisfied:
a) The Referrer has submitteda complete and valid referral through the official referral form.
b) The Referred Contact meetsall eligibility criteria set out in Section 4.
c) The Referred Contact signsup for a Statii MRP subscription and becomes an Active Paying Customer, meaningthey have completed any applicable Trial Period and have made at least onesuccessful subscription payment to Statii.
d) For the avoidance of doubt,where the Referred Contact begins on a Trial Period, the Reward will not beissued until the Trial Period has ended and the Referred Contact hastransitioned to a paid subscription with at least one payment successfullyprocessed. If the Referred Contact cancels during or at the end of the TrialPeriod without converting to a paid subscription, no Reward will be issued.
e) Statii has verified thereferral and confirmed that it meets all Programme requirements at its solediscretion.
a) The Reward for eachQualifying Referral is a single gift card to the value of £300 (three hundredpounds sterling).
b) The Reward will be issuedto the Referrer within 30 days of the Qualifying Referral being confirmed byStatii (i.e. within 30 days of the Referred Contact becoming an Active PayingCustomer).
c) The Reward will bedelivered digitally through the Tremendous rewards platform (www.tremendous.com).The Referrer will receive an email from Tremendous containing a link to redeemtheir gift card. The specific gift card brands and vendors available to theReferrer will be determined by Tremendous and may vary based on the Referrer’slocation and the availability of vendor options on the Tremendous platform atthe time of redemption. Statii does not guarantee the availability of anyspecific brand or retailer.
d) The Referrer is responsiblefor redeeming their Reward in accordance with Tremendous’s own terms andconditions and within any expiry period set by Tremendous. Statii accepts noliability for expired, unredeemed, or lost gift cards once the Reward has beenissued through the Tremendous platform.
e) The Reward isnon-transferable and cannot be exchanged for cash, credit, or any alternativebenefit.
f) Only one Reward will beissued per Referred Contact, regardless of the number of subscriptions,products, or services that Referred Contact takes with Statii.
g) There is no limit to thenumber of Qualifying Referrals a Referrer may make, provided each referralmeets the eligibility criteria independently.
a) The Referrer completes thereferral form on the Statii website, providing their own contact details andthe contact details of the Referred Contact.
b) Statii will review thesubmission and verify whether the Referred Contact meets the eligibilitycriteria.
c) If the Referred Contact iseligible, Statii may contact them to discuss the Statii platform. Statii isunder no obligation to pursue or follow up with any Referred Contact.
d) If the Referred Contactsigns up for a Statii subscription and becomes an Active Paying Customer, theReferrer will be notified and the Reward will be processed in accordance withSection 6.
e) Where the Referred Contactbegins on a Trial Period, the Referrer will not receive their Reward until theReferred Contact has completed the Trial Period and made their firstsubscription payment.
f) Statii reserves the rightto reject any referral that does not meet the Programme criteria, and itsdecision shall be final.
a) Self-referrals are notpermitted. A Referrer may not refer themselves, their own business, or anyentity in which they hold a controlling interest.
b) Referrals must be made ingood faith. Any attempt to manipulate, abuse, or defraud the Programme willresult in disqualification and forfeiture of any pending Rewards.
c) If a Referred Contact issubmitted by more than one Referrer, only the first valid referral received byStatii (as determined by the date and time of form submission) will be eligiblefor a Reward.
d) The Referrer must haveobtained the Referred Contact’s consent before submitting their personaldetails through the referral form. Statii accepts no liability for referralssubmitted without the Referred Contact’s knowledge or consent.
e) The Programme may not beused in conjunction with any other Statii promotion, offer, or incentive schemeunless expressly stated otherwise.
a) By submitting a referral,the Referrer confirms that they have obtained the Referred Contact’s explicitconsent to share their personal data (name, company name, and email address)with Statii for the purposes of the Programme.
b) Statii will process allpersonal data submitted through the Programme in accordance with its PrivacyPolicy, available at www.statii.co.uk, and in compliance with the UK GeneralData Protection Regulation (UK GDPR) and the Data Protection Act 2018.
c) Personal data collectedthrough the Programme will be used solely for the purposes of administering theProgramme, contacting the Referred Contact regarding Statii’s products andservices, and fulfilling the Reward. Data will not be sold to or shared withunrelated third parties, save for the sharing of the Referrer’s name and emailaddress with Tremendous for the sole purpose of delivering the Reward.
d) Both the Referrer and theReferred Contact may exercise their data protection rights, including the rightto access, rectify, or delete their personal data, by contacting Statii atsales@statii.co.uk.
a) The Referrer is solelyresponsible for any tax liability arising from the receipt of a Reward,including but not limited to income tax, corporation tax, or VAT, as applicableunder UK law.
b) Statii will not deduct taxat source and is not responsible for advising the Referrer on their taxobligations. Referrers are encouraged to seek independent tax advice wherenecessary.
a) Statii reserves the rightto amend, suspend, or terminate the Programme at any time and for any reason,with or without notice.
b) Any amendments to theseTerms will be published on the Statii website. Continued participation in theProgramme following the publication of amended Terms constitutes acceptance ofthose amendments.
c) Where the Programme isterminated, any Qualifying Referrals that have already been confirmed prior tothe date of termination will still be honoured, provided the Referred Contactbecomes an Active Paying Customer within 90 days of the Programme’s terminationdate.
d) Statii reserves the rightto withdraw a Reward from any Referrer who is found to have breached theseTerms.
a) To the fullest extentpermitted by law, Statii’s total liability under the Programme is limited tothe value of the Reward (£300) for each Qualifying Referral.
b) Statii shall not be liablefor any indirect, consequential, or incidental losses arising fromparticipation in the Programme.
c) Statii shall not be liablefor any delays in issuing a Reward caused by circumstances beyond itsreasonable control, including but not limited to delays by Tremendous inprocessing or delivering the gift card, technical failures, or force majeureevents.
d) Statii shall not be liablefor any issues arising from the Referrer’s use of the Tremendous platform,including but not limited to the availability of specific gift card brands,redemption difficulties, or the expiry of gift card codes. Such matters are governedby Tremendous’s own terms and conditions.
a) These Terms and Conditionsare governed by and construed in accordance with the laws of England and Wales.
b) Any disputes arising fromor in connection with the Programme shall be subject to the exclusivejurisdiction of the courts of England and Wales.

By submitting a referralthrough the Statii referral form, the Referrer acknowledges that they haveread, understood, and agree to be bound by these Terms and Conditions.
